1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of the Fawateer platform at fawateer.ai (the “Service”), operated by NoorBasira AI Technologies FZE (“Fawateer”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

The Service is intended for businesses and for individuals aged 18 or over acting in a business capacity. You agree to provide accurate registration information and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3. The Service and licence to use

Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. We may update, modify, or discontinue features of the Service from time to time.

4. Subscriptions, fees, and billing

Certain features require a paid subscription. By subscribing, you authorise us and our payment processor (Stripe) to charge the applicable fees.

Free trial. We may offer a free trial. Unless you convert to a paid plan, access to paid features ends when the trial expires.
Recurring billing. Paid subscriptions renew automatically (monthly or annually, as selected) until cancelled. You authorise these recurring charges.
Cancellation. You may cancel at any time; cancellation takes effect at the end of your current billing period. Fees already paid are non-refundable except where a refund is required by applicable law.
Taxes. Fees are exclusive of applicable taxes (including VAT), for which you are responsible.
Price changes. We may change pricing on reasonable notice; changes apply to subsequent billing periods.

5. Your content and data

You retain ownership of the documents and data you upload (“Your Content”). You grant us a limited licence to host, process, and analyse Your Content solely to provide the Service. You are responsible for Your Content and confirm that you have the right to upload and process it, including any third-party personal data it contains. Our handling of personal data is described in our Privacy Policy.

6. AI processing, accuracy, and no professional advice

The Service uses artificial intelligence to read and extract data from your documents and to assist with VAT-related categorisation. AI-generated outputs may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying all outputs before relying on them.

The Service is a tool to assist you and does not constitute tax, accounting, legal, or professional advice. Fawateer is not a tax agent registered with the UAE Federal Tax Authority (FTA) and is not an accredited e-invoicing service provider (ASP); nothing in the Service constitutes FTA approval, accreditation, or endorsement. Fawateer does not file returns on your behalf and is not responsible for your tax positions, VAT filings, or compliance with the FTA or any other authority. You remain solely responsible for the accuracy and timeliness of your filings and for your compliance with applicable law. We recommend you consult a qualified tax professional.

7. Acceptable use

You agree not to: use the Service for any unlawful purpose; upload content you have no right to upload; attempt to reverse-engineer, copy, or resell the Service; interfere with or disrupt the Service; or use it to process fraudulent, infringing, or harmful content. We may suspend or terminate accounts that violate these Terms.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by NoorBasira AI Technologies FZE and protected by applicable laws. These Terms do not grant you any rights in our intellectual property other than the limited licence to use the Service.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that outputs will be accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law, Fawateer and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Fawateer and its affiliates from any claims, damages, liabilities, or expenses arising from Your Content, your use of the Service, or your breach of these Terms.

12. Term and termination

These Terms apply for as long as you use the Service. You may terminate by closing your account. We may suspend or terminate your access if you breach these Terms or for legal or operational reasons. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as disclaimers and limitation of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
